The key characteristics of Notes include:

• 100% principal protection if held to maturity
• exposure to the performance potential of the underlying mutual fund(s)
• the potential for enhanced exposure through leverage 
• an active asset allocation strategy that increases exposure in rising markets and decreases it during declining markets

Notes are available for sale for a specific offering period. The principal guarantee applies only to those Notes held to maturity.
